RESOLUTION AUTHORIZING FIVE-YEAR OPTION UNDER THE SHARED SERVICES AGREEMENT BY AND BETWEEN THE COUNTY OF PASSAIC AND THE BOROUGH OF POMPTON LAKES, WHEREBY THE COUNTY AGREES TO PROVIDE HI-SPEED INTERNET SERVICES TO POMPTON LAKES FOR A FIVE (5) YEAR TERM, COMMENCING APRIL 1, 2024 AND EXPIRING MARCH 31, 2029, PURSUANT TO N.J.S.A. 40A:65-1, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and

 

WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and 

 

WHEREAS, the Uniform Shared Services and Consolidation Act, N.J.S.A. 40A:65-1, et seq., authorizes the County to enter into an agreement with any other local unit(s) to provide or receive any service that each local unit participating in the agreement is empowered to provide or receive within its jurisdiction; and

 

WHEREAS, the County constructed a private fiber-optic network, offering technology services that converges voice data and radio communications onto a single infrastructure, reducing the overall cost of information technology and allowing the County to offer, among other services, high-speed internet, wireless hot spots and community web portals at a greatly reduced cost, compared to private providers, saving money for interested municipalities and boards of education in the County; and

 

WHEREAS, the Borough of Pompton Lakes approached the County to purchase hi-speed internet services for the Pompton Lakes Municipal Building located at 25 Lenox Avenue, Pompton Lakes, New Jersey 07442; and

 

WHEREAS, on April 9, 2019, the Board passed Resolution No. R20190341, authorizing a five (5) year Shared Services Agreement with Pompton Lakes, commencing April 1, 2019 and expiring March 31, 2024, whereby the County agreed to provide high-speed internet services for the Pompton Lakes Municipal Building from the County’s private fiber optic network at a yearly rate of six thousand dollars ($6,000.00); and

 

WHEREAS, under the Shared Services Agreement, Pompton Lakes retained a five-year option to extend the Agreement with the County, at the discretion of Pompton Lakes; and

 

WHEREAS, on March 20, 2024, the County received written notice from Pompton Lakes, attached hereto and made part of this Resolution, exercising the five (5) year option under the Agreement; and

 

WHEREAS, this matter was discussed by the Administration & Finance Committee and is being recommended to the Board for approval; and

 

NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:65-1, et seq., the Board of County Commissioners of the County of Passaic authorizes the five-year option under the Shared Services Agreement by and between the County of Passaic and the Borough of Pompton Lakes, whereby the County agrees to provide high-speed internet services for the Pompton Lakes Municipal Building located at 25 Lenox Avenue, Pompton Lakes, New Jersey 07442 for a five (5) year term, commencing April 1, 2024 and expiring March 31, 2029.

 

LET IT BE FURTHER RESOLVED, that all other terms and conditions set forth in the Shared Services Agreement by and between the County of Passaic and the Borough of Pompton Lakes shall remain the same.

 

LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Chief Financial Officer, County Administrator and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
