RESOLUTION AUTHORIZING AND RATIFYING A SUBLEASE AGREEMENT BY AND BETWEEN THE COUNTY OF PASSAIC AND THE PASSAIC COUNTY BOARD OF SOCIAL SERVICES FOR PREMISES LOCATED AT 1237 RINGWOOD AVENUE IN THE BOROUGH OF WANAQUE, PURSUANT TO PURSUANT TO N.J.S.A. 40:20-1

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Passaic County Board of Social Services (“PCBSS”) currently leases the premises located at 1237 Ringwood Avenue in the Borough of Wanaque (“Property”) from the Borough of Wanaque (“Borough”); and
WHEREAS, the County and the PCBSS have negotiated a sublease agreement, attached hereto and made a part of this Resolution, under which the County shall sublease approximately thirty-four percent (34%) of the office space at the Property from the PCBSS, to be used solely for County operations and programs with a public purpose, including, but not limited to, the operations of the County, County Clerk, and County Surrogate; and
WHEREAS, this sublease shall be for a five-year term from January 1, 2023 to December 31, 2027, with the County paying rent and contributing to common expenses based on its proportionate share of the leased premises as set forth in the attached sublease agreement, and with the County having the option to renew for an additional five-year term, contingent on the PCBSS’s renewal of its lease with the Borough for the Property; and
WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2023 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was presented to the Administration and Finance Committee, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic ratifies and authorizes the attached lease agreement by and between the County of Passaic and the Passaic County Board of Social Services, under which the County shall sublease approximately thirty-four percent (34%) of the office space at 1237 Ringwood Avenue in the Borough of Wanaque from the PCBSS for a five-year term, effective January 1, 2023 and expiring December 31, 2027, with the County paying rent and contributing to common expenses based on its proportionate share of the leased premises as set forth in the attached sublease agreement, and with the County having the option to renew for an additional five-year term, contingent on the PCBSS’s renewal of its lease with the Borough for the Property.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, County Administrator and Clerk to the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
