RESOLUTION EXERCISING THE FOURTH ONE-YEAR OPTION WITH CARE PERSPECTIVES, INC. FOR NURSING MANAGEMENT CONSULTING SERVICES FOR PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-4.1 AND RFP-20-014

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(h) specifically authorizes the County to utilize competitive contracting to procure services related to the performance of patient care services by contracted medical staff at county hospitals, correctional facilities, and long-term care facilities; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on January 29, 2015, the Board approved Resolution No. R20150051, authorizing competitive contracting to procure nursing management consulting services; and
WHEREAS, on February 26, 2020, the Passaic County Purchasing Agent issued RFP-20-014, Preakness Healthcare Center Management Consultant for Nursing Services (“RFP-20-014”), seeking a nursing management consultant for Preakness; and
WHEREAS, in a memorandum dated August 18, 2020, a review committee recommended a contract award to Care Perspectives, Inc., after having reviewed and ranked the proposals received to RFP-20-014, based on a methodology for the awarding of competitive contracts, which included technical, management and cost related criteria; and
WHEREAS, on September 8, 2020, the Board approved Resolution No. R20200705, authorizing a contract award to Care Perspectives, Inc. for a one (1) year term, beginning June 1, 2020, and expiring May 31, 2021, in an amount not to exceed fifty thousand dollars (50,000.00), with the County retaining four (4) one (1) year options to be exercised at the discretion of the Board; and
WHEREAS, on May 25, 2021, the Board approved Resolution No. R20210501, exercising the first one (1) year option with Care Perspectives, Inc. for a contract term, commencing June 1, 2021, and terminating May 31, 2022, in an amount not to exceed fifty-five thousand dollars ($55,000.00); and
WHEREAS, on April 26, 2022, the Board approved Resolution No. R-22-0351, exercising the second one (1) year option with Care Perspectives, Inc. from June 1, 2022, through May 31, 2023, in an amount not to exceed fifty thousand dollars ($50,000.00); and
WHEREAS, on February 28, 2023, the Board passed Resolution No. R-23-0168, exercising the third one (1) year option with Care Perspectives, Inc. from June 1, 2023, through May 31, 2024, in an amount not to exceed fifty thousand dollars ($50,000.00); and
WHEREAS, the Executive Director of Preakness is recommending to exercise the fourth and final one (1) year option with Care Perspectives, Inc. from June 1, 2024 through May 31, 2025, in an amount not to exceed thirty thousand dollars ($30,000.00); and
WHEREAS, funds are available in Account No. 4-01-27-172-001-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the February 20, 2024, Health, and Human Services Committee meeting, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, the Board of County Commissioners of the County of Passaic exercises the fourth one (1) year option with Care Perspectives, Inc. to provide nursing management consulting services to Preakness Healthcare Center, for a contract term, commencing June 1, 2024 and expiring May 31, 2025, in an amount not to exceed thirty thousand dollars ($30,000.00), in accordance with the terms and conditions set forth in RFP-20-014.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract awarded to Care Perspectives, Inc. and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
