RESOLUTION AUTHORIZING THE AWARD OF CONTRACTS TO GAETA RECYCLING CO., INC. AND INTERSTATE WASTE SERVICES OF NEW JERSEY, INC., FOR COLLECTION AND DISPOSAL OF SOLID WASTE FOR PASSAIC COUNTY FACILITIES FOR A TWO-YEAR TERM, PURSUANT TO N.J.S.A. 40A:11-4, ET SEQ., SB-26-010 AND SB-26-015

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, various County facilities are in need of collection and disposal of solid waste to be delivered at a licensed disposal site; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, the County’s Purchasing Agent issued SB-26-010, Pick Up & Disposal of All Solid Waste, Located at Passaic County Buildings & Institutions and Delivered to a Licensed Disposal Site (“SB-26-010”), and SB-26-015, Re-Bid Pick Up & Disposal of All Solid Waste, Located at Passaic County Buildings & Institutions and Delivered to a Licensed Disposal Site for Items: 1-4; 6-9; 12-15; 17 (“SB-26-015”); and
WHEREAS, the Purchasing Agent opened bid proposals responsive to SB-26-010 and SB-26-015 on January 6, 2026 and January 22, 2026, respectively, and thereafter, the Solid Waste & Recycling Programs Manager reviewed responsive proposals to determine the lowest responsible bidder; and
WHEREAS, in a memorandum dated January 30, 2026, attached hereto and made part of this Resolution, the Solid Waste & Recycling Programs Manager is recommending the following contract awards, in a total amount not to exceed four hundred seventy-eight thousand and forty -eight dollars ($478,048.00):
• To Interstate Waste Services of New Jersey, Inc. under SB-26-010 for the provision of the services described in the attached memorandum, for a two-year term commencing March 1, 2026 and expiring February 28, 2028, and an amount not to exceed eighty-eight thousand six hundred and forty-eight dollars ($88,648.00) during such term, with the County retaining the option to renew for an additional one-year term, to be exercised at the discretion of the County; and
• To Gaeta Recycling Co., Inc. under SB-26-015 for the provision of the services described in the attached memorandum, for a two-year term commencing March 1, 2026 and expiring February 28, 2028, and an amount not to exceed three hundred eighty-nine thousand and four hundred dollars ($389,400.00) during such term, with the County retaining the option to renew for an additional one-year term, to be exercised at the discretion of the County; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Interstate Waste Services of New Jersey, Inc. and Gaeta Recycling Co., Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that they are not involved in prohibited activities in Russia and Belarus, and the County confirmed that Interstate Waste Services of New Jersey, Inc. and Gaeta Recycling Co., Inc. are not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the February 18, 2026, Health and Human Services Committee meeting, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, et seq., the Board of County Commissioners of the County of Passaic authorizes the following contract awards, in a total amount not to exceed four hundred seventy-eight thousand and forty -eight dollars ($478,048.00), and consistent with the memorandum attached hereto and made part of this Resolution:
• To Interstate Waste Services of New Jersey, Inc. under SB-26-010 for the provision of the services described in the attached memorandum, for a two-year term commencing March 1, 2026 and expiring February 28, 2028, and an amount not to exceed eighty-eight thousand six hundred and forty-eight dollars ($88,648.00) during such term, with the County retaining the option to renew for an additional one-year term to be exercised at the discretion of the County, all in accordance with SB-26-010, the vendor’s response thereto, and the attached memorandum; and
• To Gaeta Recycling Co., Inc. under SB-26-015 for the provision of the services described in the attached memorandum, for a two-year term commencing March 1, 2026 and expiring February 28, 2028, and an amount not to exceed three hundred eighty-nine thousand and four hundred dollars ($389,400.00) during such term, with the County retaining the option to renew for an additional one-year term to be exercised at the discretion of the County, all in accordance with SB-26-015, the vendor’s response thereto, and the attached memorandum.
LET IT BE FURTHER RESOLVED, the Clerk to the Board shall print in the official newspaper a brief notice stating the nature, duration, service, and amount of the contracts Interstate Waste Services of New Jersey, Inc. and Gaeta Recycling Co., Inc., and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Purchasing Agent, Solid Waste & Recycling Programs Manager, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
