RESOLUTION AUTHORIZING A SHARED SERVICES AGREEMENT BETWEEN THE COUNTY OF PASSAIC AND THE BOROUGH OF WANAQUE FOR THE PROVISION OF HI-SPEED INTERNET SERVICES TO BOROUGH FACILITIES FOR A FIVE-YEAR TERM, PURSUANT TO N.J.S.A. 40A:65-1, ET SEQ.

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Uniform Shared Services and Consolidation Act, N.J.S.A. 40A:65-1, et seq., authorizes the County to enter into an agreement with any other local unit or units to provide or receive any service that each local unit participating in the agreement is empowered to provide or receive within its own jurisdiction; and
WHEREAS, the County has constructed a private fiber-optic network, offering technology services that converge voice, data, and radio communications onto a single infrastructure reducing the overall cost of information technology, enabling the County to offer, among other services, hi-speed internet, wireless hot spots, and community web portals at a greatly reduced cost to participating municipalities; and
WHEREAS, the County and the Borough of Wanaque (“Borough”) have negotiated mutually agreeable terms for a shared services agreement under which the County shall provide hi-speed internet services to the Borough’s municipal building for a five-year term commencing on January 1, 2026 and expiring on December 31, 2030 (“Agreement”); and
WHEREAS, the County Administrator is recommending that the County enter into the Agreement, which is attached hereto and made a part of this Resolution; and
WHEREAS, this matter was discussed at the November 26, 2025 Administration and Finance Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:65-1, et seq., that the Board of County Commissioners of the County of Passaic hereby authorizes the execution of a shared services agreement between the County of Passaic and the Borough of Wanaque, under which the County shall provide hi-speed internet services to the Borough’s municipal building for a five-year term commencing on January 1, 2026 and expiring on December 31, 2030, with the County to receive payment from the Borough in accordance with the Agreement.
LET IT BE FURTHER RESOLVED, that pursuant to N.J.S.A. 40A:65-(b) a copy of the Agreement shall be filed, for informational purposes, with the Division of Local Government Services.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Administrator, County Counsel, and Director of the Board are authorized to take any action necessary to carry out the purposes of this resolution.
