RESOLUTION AUTHORIZING TWENTY-YEAR LEASE AGREEMENT BY AND BETWEEN THE COUNTY OF PASSAIC AND THE TOWNSHIP OF WEST MILFORD WHEREBY THE COUNTY WILL LEASE THE PROPERTY LOCATED AT 13 EDGAR PLACE, WEST MILFORD, NEW JERSEY AND CONVERT IT INTO A SATELLITE HEALTH SERVICES OFFICE, PURSUANT TO N.J.S.A. 40A:12-14(b)

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the County and the Township of West Milford (“Township”) are parties to a Shared Services Agreement whereby the County serves as the Township’s Health Officer and provides public health services, as outlined in the Agreement; and
WHEREAS, on December 28, 2023, the Board passed Resolution No. R-23-1215, authorizing a lease agreement between the County and the Township, under which the County leased certain real property and improvements thereon, commonly known as the Johner Building, from the Township for a twenty-year term from January 1, 2024 to December 31, 2043 (“Lease Agreement”); and
WHEREAS, the street address of the Johner Building is 11 Edgar Drive, West Milford, New Jersey 07480, however, due to a mutual scrivener’s error, the Lease Agreement incorrectly listed the street address of the leased premises as 13 Edgar Drive, West Milford, New Jersey 07480; and
WHEREAS, the County and the Township both desire to amend the Lease Agreement to reflect the correct street address of the leased premises as 11 Edgar Drive, West Milford, New Jersey 07480, as set forth in the First Addendum to Lease Agreement, attached hereto and made a part of this Resolution; and
WHEREAS, this matter was discussed at the June 10, 2026, Administration & Finance Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:12-14(b), the Board of County Commissioners of the County of Passaic authorizes an addendum to the Lease Agreement between the County and the Township of West Milford for the purpose of correcting the street address of the leased premises, in accordance with the terms set forth in the attached First Addendum to Lease Agreement.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, County Administrator and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
