RESOLUTION AUTHORIZING HOLD HARMLESS AGREEMENTS WITH VARIOUS NON-PROFIT ORGANIZATION, PURSUANT TO N.J.S.A. 40:20-1

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the County is in possession of surplus clothing items and other personal property of de minimus value no longer needed for public use, which the County wishes to donate to various local non-profit organizations through coordination with the County’s Department of Human Services, for distribution to shelters and individuals in need; and
WHEREAS, in order to facilitate this arrangement and protect itself from potential liability, the County wishes to enter into hold harmless agreements with these non-profit organizations concerning the donated items, in a form substantially similar to the agreement attached hereto and made and part of this Resolution; and
WHEREAS, this matter was discussed at the November 26, 2025 meeting of the Health and Human Services Committee and being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic hereby authorizes the execution of hold harmless agreements with Advance Housing, Inc.; Bring Hope A NJ Nonprofit Corporation; Center for Family Resources, Inc. dba Highlands Family Success Center; CURA, Inc.; HS&H Outreach Services A NJ Nonprofit Corporation; Mental Health Association in Passaic County, Inc.; NewBridge Services, Inc.; and Oasis - A Haven for Women & Children Inc., in a form substantially similar to the agreement attached hereto and made and part of this Resolution.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of the Department, and Director of the Board are authorized to take any other action necessary to carry out the purpose of this Resolution.
