RESOLUTION AUTHORIZING THE ACCEPTANCE OF THE RECOMMENDATION OF THE RFP REVIEW COMMITTEE FOR RFP-26-013 AND AWARD A CONTRACT TO CAMBRIDGE SYSTEMATICS, INC., TO PROVIDE CONSULTANT SERVICES TO COMPLETE THE PASSAIC COUNTY URBAN CORE TRUCKING STUDY FOR A TERM COMMENCING UPON AGREEMENT AND TO TERMINATE ON JUNE 30, 2027, PURSUANT TO N.J.S.A. 40A:11-4.1 ET SEQ.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision-making powers on behalf of the County; and
WHEREAS, the Passaic County Department of Planning and Economic Development (hereafter “Department”) facilitates the development and redevelopment of communities that offer citizens a high quality of life by meeting their needs for employment, affordable housing, efficient transportation, and access to leisure, recreational and cultural opportunities; and
WHEREAS, N.J.S.A. 40A:11-4.1 authorizes the County to utilize competitive contracting in lieu of public bidding for procurement of specialized goods and services, the price of which exceeds the bid threshold; and
WHEREAS, N.J.S.A. 40A:11-4.1(m) specifically authorizes the County to utilize competitive contracting for consulting services, under which this program falls; and
WHEREAS, the Purchasing Agent unsealed responses to RFP 26-013, Passaic County Urban Core Trucking Study, for a term commencing upon agreement and to terminate on June 30, 2027; and
WHEREAS, in accordance with the law, a Review Committee convened to review the responses to RFP-26-013, and recommended an award of contract to the following approved vendor for a term commencing upon agreement and to terminate on June 30, 2027; and
WHEREAS, pursuant to N.J.S.A. 19:44A-20.4, the County’s request for proposals is a fair and open process, specifically, the request for proposals for the projects under RFP-26-013 are publicly advertised, awarded under a process that provides for public solicitation of qualifications, established the basis of an award and disclosure process documented in writing prior to any solicitation, and is publicly opened and announced when awarded; and
WHEREAS, the Committee recommends awarding the following contract:
Cambridge Systematics, Inc., in the amount of $332,000.00
WHEREAS, funds are available in Account No. G-01-41-830-026-233 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the March 12, 2026, meeting of the Planning and Economic Development Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic (hereafter “Board”) hereby authorizes a contract award to the following approved vendor listed below for consulting services to complete the Passaic County Urban Core Trucking Study totaling $332,000.00 for a term commencing upon agreement and to terminate on June 30, 2027:

LET IT BE FURTHER RESOLVED, the Clerk to the Board shall publish on the Public Notices page of the County’s website, a brief notice stating the nature, duration, service, and amount of the contract to the approved vendor as stated herein and maintain a copy of the Resolution on file and available for public inspection in the Office of the Clerk to the Board; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, Director of the Board, and County Counsel are authorized to take any other steps necessary to carry out the purpose of this Resolution.
