RESOLUTION AUTHORIZING CONTRACT MODIFICATION NO. 2 FOR FRENCH & PARRELLO ASSOCIATES, P.A., TO PERFORM ON CALL CONSTRUCTION & GEOTECHNICAL TESTING FOR MORRIS CANAL GREENWAY PHASE IV, HIGHLANDS RAIL TRAIL & RIFLE CAMP ROAD IMPROVEMENT PROJECTS PURSUANT TO N.J.A.C. 5:30-11.6

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic are vested with decision-making powers on behalf of the County; and
WHEREAS, on January 21, 2021, the Purchasing Agent issued Construction & Geotechnical On-Call Testing Services, SB-21-003 (hereafter “SB-21-003”), in compliance with N.J.S.A. 40A:11-4, et seq.; and
WHEREAS, on February 9, 2021, the Board passed Resolution No. R20210123 qualifying a pool of construction companies and establishing unit prices for the on-call construction and geotechnical testing services through SB-21-003, for a period beginning on March 1, 2021, and expiring on December 31, 2022, as recommended by the County Engineer, to be hired on an as-needed basis which included French and Parrello Associates, PA; and
WHEREAS, on May 24, 2022, the Board passed Resolution R-22-0476, authorizing an award of contract to French & Parrello Associates, P.A., for On-Call Construction and Geotechnical Testing Services for Morris Canal Greenway Phase IV, Highlands Rail Trail & Rifle Camp Road Improvements Project in an amount not to exceed thirty-three thousand, two hundred ninety dollars ($33,290.00), which included the four thousand dollars ($4,000.00) allowance for traffic and three thousand dollars ($3,000.00) for additional testing; and
WHEREAS, on November 21, 2023, the Board passed Resolution R-23-1083, authorizing Contract Modification No. 1 to French & Parrello Associates, P.A. in the amount of five thousand nine hundred dollars ($5,900.00) for performing subsurface exploration and laboratory testing not included in the original scope of work, in the increased amount of thirty-nine thousand, one hundred ninety dollars ($39,190.00); and
WHEREAS, the Board passed R-24-1058 accepting the unit pricing schedule contained in the bid submitted by French & Parrello Associates, P.A. under SB-25-005 for a two-year period on January 1, 2025 and expiring on December 31, 2026 as recommended by the County Engineer; and
WHEREAS, pursuant to N.J.A.C. 5:30-11.6, the County can authorize contract modifications for professional services and extraordinary unspecifiable services when the change is within the scope of activities of the original contract, and not for the purpose of undertaking new or different work or projects; and
WHEREAS, the County Engineer is recommending that the Board approve Contract Modification No. 2 for French & & Parrello Associates, P.A., for additional soil borings required for the proposed bridge, due to change in bridge location as directed by the North Jersey District Water Supply Commission, not included in the original scope of work for an additional amount of four thousand five hundred seventy two dollars ($4,572.00), which will increase the overall total to forty-three thousand seven hundred sixty-two dollars ($43,762.00); and
WHEREAS, funds are available in Account No. C-04-55-172-002-920, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2023 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the January 15, 2025, meeting of the Public Works Committee and being recommended to the Board of County Commissioners for the County of Passaic for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.A.C. 5:30-11.6, that the Board of County Commissioners of the County of Passaic hereby authorizes contract modification No. 2 for French & & Parrello Associates, P.A., for additional soil borings required for the proposed bridge, due to change in bridge location as directed by the North Jersey District Water Supply Commission, not included in the original scope of work for an additional amount of four thousand five hundred seventy two dollars ($4,572.00) which will increase the overall total to forty-three thousand seven hundred sixty-two dollars ($43,762.00).
LET IT BE FURTHER RESOLVED, the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract modification to French & & Parrello Associates, P.A., and maintain a copy of the resolution on file and available for public inspection in the Office of the Clerk of the Board.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, and Director of the Board of County Commissioners are authorized to execute the contract and take any other steps necessary to carry out the purpose of this resolution.
