RESOLUTION AUTHORIZING A PROJECT AGREEMENT BY AND BETWEEN THE COUNTY OF PASSAIC AND FRIENDS OF PASSAIC COUNTY PARKS, INC., FOR THE HIGHLANDS FARM STEWARDSHIP PROJECT, PURSUANT TO N.J.S.A. 40:20-1

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, on September 8, 2008, the Board approved Resolution No. 08-742, authorizing the creation of the Friends of Passaic County Parks, Inc. (“Friends”), a non-profit corporation designated to seek grant funding, provide private sources of funding to promote the Passaic County Park System, and undertake improvement projects; and
WHEREAS, the County has submitted an application to the State of New Jersey, Department of Environmental Protection, Green Acres Program, for financial assistance under the Green Acres Program in connection with the Highlands Farm Stewardship Project (“Project”); and
WHEREAS, the County desires to manage the Project on behalf of the Friends, pursuant to the terms and conditions set forth in the Project Management Agreement attached to and made part of this Resolution; and
WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, this matter was discussed at the September 30, 2026, meeting of the Administration and Finance Committee, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:20-1 that the Board of County Commissioners of the County of Passaic authorizes the attached Project Management Agreement by and between the County of Passaic and Friends of Passaic County Parks, Inc. in connection with the Highlands Farm Stewardship Project.
LET IT BE FURTHER RESOLVED that the Chief Financial Officer is authorized and directed to remit funds to the Friends of Passaic County Parks, Inc., in the amount of two hundred eighty-seven thousand five hundred dollars ($287,500.00) for use to complete the Highlands Farm Stewardship Project.
LET IT BE FURTHER RESOLVED that the Clerk of the Board, County Administrator, Chief Financial Officer, and Director of the Board of County Commissioners are authorized to take any action necessary to carry out the purpose of this Resolution.
