RESOLUTION AUTHORIZING THE RENEWAL OF THE COUNTY’S RECYCLE COACH SOFTWARE SUBSCRIPTION FROM MUNICIPAL MEDIA CORP., PURSUANT TO N.J.S.A. 40A:11-5

WHEREAS, the County of Passaic (“County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (“Board”) is vested with decision making powers on behalf of the County; and
WHEREAS, the Passaic County Department of Health, Division of Solid Waste & Recycling (“Division”), coordinates all solid waste and recycling planning functions on behalf of the County and its municipalities; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5(1) (dd), a contract may be negotiated and awarded by the Board without public advertising for bids and bidding therefor and can be awarded by resolution of the Board if the contract is for the provision or performance of goods or services for the support or maintenance of proprietary computer hardware and software; and
WHEREAS, the Division is recommending that the County renew its subscription with Municipal Media Corp. for proprietary software currently being utilized by the County, which is necessary for the Division’s operations and exclusively available from Municipal Media Corp., consisting of the Recycle Coach Pro Package software package, including the enhanced Clean Communities Education Package, language support in English, Spanish, and Arabic, and related support services, pursuant to the attached quote, for a one-year term beginning on August 1, 2026 and expiring on August 1, 2027, in a total amount not to exceed thirty-three thousand eight hundred dollars ($33,800.00); and
WHEREAS, Municipal Media Corp. has executed and notarized the County’s Business Entity Disclosure Certification for non-fair and open contracts required pursuant to N.J.S.A. 19:44A-20.8, which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Municipal Media Corp. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed Municipal Media Corp. is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account Nos. G-01-41-761-023-213, G-01-41-760-025-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was presented for the August 26, 2026, Health & Human Services Committee meeting, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5(1)(dd), the Board of County Commissioners of the County of Passaic authorizes the renewal of the County’s Recycle Coach Pro Package software package with Municipal Media Corp., including the enhanced Clean Communities Education Package, language support in English, Spanish, and Arabic, and related support services, pursuant to the attached quote, for a one-year term beginning on August 1, 2026 and expiring on August 1, 2027, in a total amount not to exceed thirty-three thousand eight hundred dollars ($33,800.00).
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, Director to the Board, County Counsel, and the Director of the Department of Health are hereby authorized to take the necessary actions to carry out the purpose of this Resolution.
