RESOLUTION AUTHORIZING AN INCREASE IN APPROPRIATION FOR THE CONTRACT WITH GERISCRIPT, LLC, FOR PHARMACEUTICAL SERVICES AT PREAKNESSS HEALTHCARE CENTER UNDER RFP-24-036

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board, which requires pharmaceutical services for residents of Preakness; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.3, on September 10, 2019, the Board approved Resolution No. R-20190787, authorizing competitive contracting to retain a provider of pharmaceutical services at Preakness; and
WHEREAS, the Purchasing Agent issued RFP-24-036, Preakness Healthcare Center Pharmaceutical Services (“RFP-24-036”) on October 2, 2024, responses to which were unsealed on October 23, 2024; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4.1, et seq., based on the recommendations of a review committee, the Board adopted Resolution No. R-24-1011 on November 18, 2024, authorizing the award of a contract to Geriscript, LLC in the amount of three hundred fifty thousand dollars ($350,000.00) for the period beginning on December 1, 2024 and ending on November 30, 2026, with three (3) one-year options to renew, in accordance with RFP-24-036 and the vendor’s responses thereto; and
WHEREAS, the Executive Director of Preakness has advised that it is necessary to increase the appropriation for the above-described contract with Geriscript, LLC, in an amount not to exceed two hundred thousand dollars ($200,000.00), resulting in a new total contract amount not to exceed five hundred fifty thousand dollars ($550,000.00); and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., Geriscript, LLC executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that Geriscript, LLC is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. 5-01-27-172-001-M01 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in 2025 and/or subsequent County budget(s); and
WHEREAS, this matter was discussed at the December 2, 2025, meeting of the Health and Human Services Committee and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1 et seq., the Board of County Commissioners of the County of Passaic “Board”) authorizes an increase in the appropriation for the contract with Geriscript, LLC under RFP-24-036, Preakness Healthcare Center Pharmaceutical Services, in an amount not to exceed two hundred thousand dollars ($200,000.00), resulting in a new total contract amount not to exceed five hundred fifty thousand dollars ($550,000.00)
LET IT BE FURTHER RESOLVED, that the Clerk to the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract to Geriscript, LLC, and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and the Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
