RESOLUTION AMENDING RESOLUTION NO. R-24-1175 RETAINING TRENK ISABEL SIDDIQI & SHAHDANIAN, P.C. TO CONDUCT ETHICS TRAININGS FOR THE COUNTY OF PASSAIC, TO CORRECT THE REFERENCED RFQ

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, the Department of Human Resources is seeking a law firm to conduct ethics trainings for County employees; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5, et seq., the Passaic County Purchasing Agent issued RFQ-24-038, Outside Legal Counsel (“RFQ-24-038”) on September 22, 2023, seeking qualifications for a pool of outside legal counsel to provide professional services to the County, as needed during calendar year 2024; and
WHEREAS, on December 12, 2023, the Board passed Resolution No. R-23-1123, qualifying a pool of outside legal counsel for calendar year 2024 to be hired on an as-needed basis and as recommended by the Passaic County Counsel, which included Trenk Isabel Siddiqi & Shahdanian, P.C.; and
WHEREAS, the Director of Human Resources recommended retaining Trenk Isabel Siddiqi & Shahdanian, P.C. to conduct ethics trainings for County employees, for an amount not to exceed sixteen thousand nine hundred forty-six dollars and fifty cents ($16,946.50); and
WHEREAS, funds are available in Account No. 4-01-20-106-001-217, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2024 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the November 26, 2024 Administration and Finance Committee meeting and was recommended to the Board for approval; and
WHEREAS, the Board passed Resolution No. R-24-1175 on December 30, 2024, approving the award of a contract to Trenk Isabel Siddiqi & Shahdanian, P.C. to conduct ethics trainings for County of Passaic employees; and
WHEREAS, Resolution No. R-24-1175 incorrectly indicated that the contract to Trenk Isabel Siddiqi & Shahdanian, P.C. was awarded pursuant to RFQ-24-055, which the Board desires to amend to reflect that the aforementioned contract was awarded pursuant to RFQ-24-038.
NOW, THEREFORE, LET IT BE RESOLVED, that the Board of County Commissioners of the County of Passaic (“Board”) hereby amends Resolution No. R-24-1175 only to clarify that the contract to Trenk Isabel Siddiqi & Shahdanian, P.C. referenced therein is being awarded pursuant to RFQ-24-038, Outside Legal Counsel.
LET IT BE FURTHER RESOLVED, that all other terms and conditions set forth in Resolution No. R-24-1175, to the extent not inconsistent with this Resolution, are hereby ratified and shall remain in full force and effect.
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
