RESOLUTION EXERCISING FIRST ONE-YEAR OPTION UNDER CONTRACT WITH SYMPHONY DIAGNOSTIC SERVICES NO. 1, LLC D/B/A TRIDENTCARE TO PROVIDE DIAGNOSTIC TESTING SERVICES TO PREAKNESS HEALTHCARE CENTER, PURSUANT TO N.J.S.A. 40A:11-4.1, ET SEQ. AND RFP-24-020

WHEREAS, the County of Passaic (“County”) is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners of the County of Passaic (“Board”) is vested with managing the property, finances, and affairs of the County; and
WHEREAS, Preakness Healthcare Center (“Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, on July 3, 2024, the Passaic County Purchasing Agent issued RFP-24-020, Diagnostic Testing Services for Passaic County Preakness Healthcare Center (“RFP-24-020”); and
WHEREAS, on July 23, 2024, the Purchasing Agent unsealed responses to RFP-24-020 and thereafter the proposals submitted were reviewed and ranked in accordance with the law and based on methodology for the awarding of competitive contracts, which included technical, management, and cost-related criteria; and
WHEREAS, on August 13, 2024, the Board passed Resolution No. R-24-695, authorizing an award of contract to TridentCare to provide diagnostic testing services to Preakness residents for a two (2) year contract term, commencing on September 1, 2024 and expiring on August 31, 2026, in an amount not to exceed twenty thousand dollars ($20,000.00) yearly, for a total contract award not to exceed forty thousand dollars ($40,000.00), with three one-year renewal options to be exercised at the discretion of the Board; and
WHEREAS, the Executive Director of Preakness is recommending that the County exercise the first one-year option to renew the above-described contract with TridentCare, for a term commencing on September 1, 2026, and expiring on August 31, 2027; and
WHEREAS, pursuant to N.J.S.A. 52:32-60.1, et seq., Symphony Diagnostic Services No. 1, LLC d/b/a TridentCare executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed the vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. 6-01-27-172-001-213, or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the June 10, 2026, Health & Human Services Committee, and is being recommended to the Board for approval.
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4.1, et seq., the Board of County Commissioners of the County of Passaic exercises the first one-year option to renew the County’s contract with Symphony Diagnostic Services No. 1, LLC d/b/a TridentCare under RFP-24-020, Diagnostic Testing Services for Passaic County Preakness Healthcare Center, for a term commencing on September 1, 2026 and expiring on August 31, 2027, and an amount not to exceed twenty thousand dollars ($20,000.00) during such term.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board shall print, in the official newspaper, a brief notice stating the nature, duration, service, and amount of the contract awarded to Symphony Diagnostic Services No. 1, LLC d/b/a TridentCare, and maintain a copy of this Resolution on file and available for public inspection in the Office of the Clerk to the Board.
LET IT BE FURTHER RESOLVED, that the Clerk of the Board, County Counsel, Executive Director of Preakness, Purchasing Agent, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
