RESOLUTION AUTHORIZING A HOLD HARMLESS AGREEMENT BETWEEN THE COUNTY OF PASSAIC AND LACKAWANNA VENTURES FOR PROPERTY LOCATED AT 128-182 LACKAWANNA AVENUE, WOODLAND PARK, NEW JERSEY, BLOCK 122, LOT 1.02

WHEREAS, the Passaic County Department of Planning and Economic Development is in receipt of a proposed Agreement (attached hereto) by and between the County of Passaic (hereafter “County”) and Lackawanna Ventures (hereafter “Applicant”) regarding waiver of responsibility for any and all stormwater, silt or debris that enters Applicant’s property from the County right-of-way; and
WHEREAS, Applicant applied to the Passaic County Planning Board (hereinafter “Board”) under File No. SP-25-015 to construct and develop real property on a Passaic County roadway located at 128-182 Lackawanna Avenue, Woodland Park, New Jersey, Block 122, Lot 1.02 (hereinafter the “Project”); and
WHEREAS, on March 16, 2026, in lieu of requiring modifications to the driveway, the Passaic County Development Review Committee (hereinafter the “Committee”) required the Applicant to enter into an agreement, by review letter attached hereto, to protect and hold the County harmless for any and all damage caused to Applicant's Property in connection with any stormwater, silt, or debris that enters the Applicant's Property from the County right-of -way; and; and
WHEREAS, the Board has agreed to the plans as contained in the site plan dated August 19th, 2024, revised as of December 17th, 2025 (“Site Plan”) prepared by Zechariah J. Cullen, P.E. (N.J. Lic. No. 54989) on the Applicant’s agreement to protect and hold the County harmless and enter into an Agreement indemnifying the County for any claims or damages to the Applicant’s Property related to stormwater, silt, or debris that enters the property from the County right-of-way; and
WHEREAS, this matter was discussed at the May 14, 2026, meeting of the Planning and Economic Development Committee and is being recommended to the Passaic County Board of County Commissioners for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, by the Passaic County Board of County Commissioners that the County Commissioner Director and Clerk of the Board be and are hereby authorized to execute the attached Agreement by and between the County of Passaic and Lackawanna Ventures, as set forth above.
