RESOLUTION AMENDING RESOLUTION R-25-252, DATED MARCH 25, 2025, TO AWARD ITEM #200-FRUIT COCKTAIL TO MIVILA FOODS

WHEREAS, the County of Passaic (hereafter “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1, the Board of County Commissioners for the County of Passaic (hereafter the “Board”) is vested with decision-making powers on behalf of the County; and
WHEREAS, Preakness Healthcare Center (hereafter “Preakness”) is a New Jersey Department of Health licensed, 406-bed skilled nursing facility that is owned and operated by the Board; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, et.seq. for every contract awarded by the County for the provision or performance of any goods or services, the cost of which in the aggregate exceeds the bid threshold established pursuant to N.J.S.A. 40A:11-3, shall be awarded by resolution of the Board to the lowest responsible bidder after public advertising for bids and bidding thereof; and
WHEREAS, the Purchasing Agent issued SB-25-036 Groceries, Canned and Frozen Goods for the County of Passaic Departments and Institutions (hereafter SB-25-036), in compliance with N.J.S.A. 40A:11-4, et.seq. that solicited competitive pricing from qualified vendors for the goods and services sought therein; and
WHEREAS, on February 20, 2025, the Purchasing Agent unsealed responses received to SB-25-036; and
WHEREAS, pursuant to N.J.S.A. 40A:11-4, the Executive Director of Preakness Healthcare Center recommended that the Board authorize contracts with Cardinal Foods LLC, H. Schrier & Co., Inc., Mivila Foods, and With Corner Stone LLC to provide groceries, Canned and frozen goods at Preakness, for a one (1) year term, in a lump sum amount of one million one hundred thousand dollars ($1,100,000.00) for the period beginning April 1, 2025 through March 31, 2026, with a one (1) year option to renew; and
WHEREAS, pursuant to Resolution R-25-252 dated March 25, 2025, the Board authorized contracts to the above-reference vendors for the contract amount and time period set forth above; and
WHEREAS, the Executive Director of Preakness Healthcare Center is requesting a resolution to amend R-25-252 dated March 25, 2025, for the following reason: H. Schrier instructed Item #200-Fruit Cocktail be removed from order sheet; therefore, the Board will award Item #200-Fruit Cocktail to Mivila Foods due to H. Schrier’s inability to supply products; and
WHEREAS, all other terms and conditions set forth in R-25-252 dated March 25, 2025 shall remain in full force and effect; and
WHEREAS, this matter was discussed at the April 1, 2025, meeting of the Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, the Board of County Commissioners of the County of Passaic hereby amends R-25-252 dated March 25, 2025, to award Item #200-Fruit Cocktail to Mivila Foods for the reason set forth above; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Director of the Board of County Commissioners of the County of Passaic are authorized to take any other steps necessary to carry out the purpose of this Resolution.
