RESOLUTION AUTHORIZING THE PURCHASE OF AN ANNUAL ECOLANE MNT SOFTWARE SUBSCRIPTION RENEWAL FROM JANUARY 1, 2026, TO DECEMBER 31, 2026, FROM DELL MARKETING L.P. FOR THE PASSAIC COUNTY DEPARTMENT OF SENIOR SERVICES, DIVISION OF PARATRANSIT, PURSUANT TO N.J.S.A. 40A:11-12, ET SEQ.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision making powers on behalf of the County; and
WHEREAS, the County, through its Department of Senior Services (hereafter “Department”), provides assistance with senior benefit programs, including home and community services to senior citizens throughout Passaic County; and
WHEREAS, the Executive Director of the Department is requesting a resolution to purchase an annual Ecolane MNT software subscription renewal for the Paratransit Division; and
WHEREAS, pursuant to N.J.S.A. 40:11-12, the County may, without advertising for bids, or having rejected all bids obtained pursuant to advertising thereof, purchase any goods or services under any contract or contracts for such goods or services entered into on behalf of the State of New Jersey by the Division of Purchase and Property in the Department of Treasury; and
WHEREAS, Dell Marketing LP provided a quote for the purchase of an annual Ecolane MNT software subscription renewal from January 1, 2026 to December 31, 2026 in an amount not to exceed forty-five thousand six hundred eighty-two and fifty-six/100 dollars ($45,682.56), attached to and made part of this resolution, which is being recommended for approval by the Executive Director contingent upon vendor being awarded a new contract; and
WHEREAS, Dell Marketing LP submitted competitive pricing under State Contract #20-TELE-01510; and
WHEREAS, funds are available in Account No. T-24-56-850-000-801 or any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent years’ County budget(s), which is attached to and made part of this Resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, this matter was discussed at the March 11, 2026, Health and Human Services Committee and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40:11-12, the Board of County Commissioners of the County of Passaic is authorizing the purchase of an annual Ecolane MNT software subscription renewal from January 1, 2026 to December 31, 2026 in an amount not to exceed forty-five thousand six hundred eighty-two and 56/100 dollars ($45,682.56) from Dell Marketing LP under State Contract #20-TELE-01510 contingent upon vendor being awarded a new contract; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Purchasing Agent are authorized to execute an agreement and take any other steps necessary to carry out the purpose of this resolution.
