RESOLUTION AWARDING A NON-FAIR AND OPEN CONTRACT TO PRIDE PRODUCTS DISTRIBUTORS LLC FOR THE PURCHASE OF PROMOTIONAL ITEMS TO SUPPORT OUTREACH ENGAGEMENT AND EDUCATIONAL INITIATIVES FOR THE PASSAIC COUNTY SENIOR SERVICES DEPARTMENT/DIVISION OF NUTRITION, PURSUANT TO N.J.S.A. 40A:11-5.

WHEREAS, the County of Passaic (the “County”) is a government body incorporated pursuant to N.J.S.A. 40:18-1, et seq. and vested with all rights contained therein; and
WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners for the County of Passaic (hereinafter the “Board”) are vested with decision making powers on behalf of the County; and
WHEREAS, the County, through its Department of Senior Services (hereafter “Department”), provides assistance with senior benefit programs, including home and community services to senior citizens throughout Passaic County; and
WHEREAS, pursuant to N.J.S.A. 40A:11-5(1)(a)(i), any contract, the amount of which exceeds the bid threshold, may be negotiated and awarded by the Board without public advertising for bids and bidding therefor and shall be awarded by resolution of the Board if the subject matter of the contract is for professional services; and
WHEREAS, the Director of the Department of Senior Services/Nutrition Division is recommending to award a non-fair and open contract to Pride Products Distributors LLC for the purchase of promotional items to support outreach engagement and educational activities for the Division of Nutrition; and
WHEREAS, the Department has received quotes from different vendors for the purchase of dumbbell stress relievers and light-up magnifiers, both serve as practical tools to promote wellness accessibility; dumbbell stress relievers provide a simple and effective means to encourage stress reduction and physical wellness and light-up magnifiers enhance visibility and accessibility while supporting individuals in reading and performing detailed tasks with greater ease; and
WHEREAS, the only vendor able to fulfill the order with the most affordable price is Pride Products Distributors LLC, located at 70 South Orange Avenue, 206A, Livingston, NJ, in an amount not to exceed eight thousand two hundred twenty and 34/100 ($8,220.34) dollars; and
WHEREAS, Pride Products Distributors LLC has submitted the Business Entity Disclosure Certification for Non-Fair and Open Contracts pursuant to N.J.S.A. 19:44A-20.8, stating that they have not made and will not make any reportable contributions pursuant to N.J.S.A. 19:44A-1, et seq. that would bar award of this contract, which is attached hereto and made part of this resolution; and
WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., vendor executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying the vendor is not involved in prohibited activities in Russia and Belarus, and the County confirmed vendor is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and
WHEREAS, funds are available in Account No. G-01-41-801-026-C04 or any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2026 and/or subsequent County budget(s), which is attached hereto and made part of this Resolution; and
WHEREAS, this matter was discussed at the April 14, 2026, Health & Human Services Committee meeting, and is being recommended to the Board for approval; and
NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-5, the Board of County Commissioners of the County of Passaic awards a non-fair and open contract to Pride Products Distributors LLC for the purchase of promotional items to support outreach engagement and educational initiatives for the Department of Senior Services/Nutritional Division, in an amount not to exceed eight thousand two hundred twenty and 34/100 ($8,220.34) dollars; and;
LET IT BE FURTHER RESOLVED, the Clerk to the Board shall publish on the Public Notices page of the County’s website, a brief notice stating the nature, duration, service, and amount of the contract to Pride Products Distributors LLC, and maintain a copy of the resolution on file and available for public inspection in the Office of the Clerk to the Board; and
LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution.
